Nou Kollan Foundation Trading Company Ltd. (NKFTCL) is the trading enterprise of Nou Kollan Foundation, the welfare organization of the Bangladesh Navy. Its registered office is at the Naval Headquarters Complex, Banani, Dhaka-1213.
The company was formed to serve the serving and retired personnel of the Bangladesh Navy and their families. It operates as a trading company, delivering a diverse range of services within each client’s time, requirement and budget.
Growing well beyond its original welfare remit, NKFTCL now provides consultancy, dredging and construction, and produces and markets mineral water under the Navy brand through a joint venture.

Ownership & control
The company is wholly a Navy institution. Its form, its shareholding and how it is controlled are set out in its Memorandum and Articles of Association.
Form
A private company limited by shares under the Companies Act 1994, within the meaning of Section 2(1)(q). The liability of members is limited by shares.
Ownership
Nou Kollan Foundation holds 999,993 of the 999,999 subscribed ordinary shares, effectively the whole company. The remaining six are single ex officio seats held by serving naval officers.
Control
The Board is chaired by the Chief of the Naval Staff. It appoints the Managing Director, who attends the Board as Chief Executive but holds no vote.
Closed to the public
No invitation may be issued to the public to subscribe for shares or debentures, membership is capped at fifty, and the right to transfer shares is restricted.

Authorised capital BDT 100,000,000 (Ten Crore). The ring is drawn to scale, which is why it closes: the 6 ex officio shares and the 1 unissued share are too small to register against 1,000,000. Those seats exist to meet the statutory minimum membership, and move with the naval appointment rather than the individual.
How the company is governed

Appointment of the Managing Director
The Board appoints a suitably experienced person as Managing Director and Chief Executive Officer, and sets the tenure, duties and remuneration of the post. The Managing Director attends Board meetings but has no voting right.
Quorum
Four members present in person form a quorum at a General Meeting; four directors present in person form a quorum of the Board.
Bank mandate
Company accounts are operated on the joint signature of the Managing Director and either the Chairman or a Vice Chairman empowered by the Chairman.
Dividends
Dividends are declared in General Meeting and may not exceed the amount the Board recommends.
Disputes
Disputes on the interpretation of the Articles go to arbitration under the Arbitration Act 2001.
