A private company limited by shares, incorporated on 26 May 2013 under the Companies Act 1994 and registered at the Naval Headquarters Complex, Banani, Dhaka-1213. Nou Kollan Foundation holds 999,993 of the 999,999 subscribed ordinary shares; the remaining six are ex officio seats.
Form
A private company limited by shares under the Companies Act 1994, within the meaning of Section 2(1)(q). The liability of members is limited by shares.
Ownership
Nou Kollan Foundation holds 999,993 of the 999,999 subscribed ordinary shares, effectively the whole company. The remaining six are single ex officio seats held by serving naval officers.
Control
The Board is chaired by the Chief of the Naval Staff. It appoints the Managing Director, who attends the Board as Chief Executive but holds no vote.
Closed to the public
No invitation may be issued to the public to subscribe for shares or debentures, membership is capped at fifty, and the right to transfer shares is restricted.
